Terms of Service

1. Agreement

By creating a Truven account you agree to these Terms with Truven Labs, a sole proprietorship registered in Ontario, Canada. If you are using Truven on behalf of a company, you represent that you are authorized to bind that company.

2. The service

Truven provides a hosted trust-center product: a public trust page, gated document distribution, and AI-assisted questionnaire drafting. Features and limits vary by plan and are described on the pricing page.

3. Your content

You retain ownership of documents, Q&A entries, and other content you upload. You grant Truven a limited license to host, process, and display that content solely to operate the service for you and the audiences you designate (for example, the public trust page or NDA-verified viewers).

4. Acceptable use

Do not use Truven to distribute unlawful content, impersonate a company you don't represent, or attempt to breach the security of the service. We may suspend accounts that violate these rules.

5. Billing

Paid plans are billed monthly or annually via Stripe. Fees are non-refundable except where required by law. You can cancel at any time; access continues until the end of the paid period.

6. AI features

AI-drafted questionnaire answers are suggestions. You are responsible for reviewing and approving every answer before sending it to a customer or regulator.

7. Warranty disclaimer

The service is provided "as is" without warranties of any kind. Truven is not a substitute for a compliance audit, legal counsel, or a certified security program.

8. Limitation of liability

To the maximum extent permitted by law, Truven's aggregate liability for any claim arising from the service is limited to the fees you paid in the twelve months before the claim.

9. Termination

Either party may terminate at any time. On termination we will make reasonable efforts to allow you to export your data for 30 days, after which it may be deleted.

10. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute arising from these Terms or the service.

11. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected in the "Last updated" date above and, where appropriate, communicated by email. Continued use of the service after a change takes effect constitutes acceptance.
